BRYNHILL (BARRY) GOLF CLUB

Minutes of the Annual General Meeting held at 7:30pm, on Tuesday 18th March 2008 at the Bryn Hafren Girls School, Merthyr Dyfan Road, Barry.

The Vice Captain, Mr Glenn Taylor opened the meeting by thanking Andy Chick for inviting him as his Vice-Captain and the members for accepting him as their incoming Captain.


ITEM 1 - TO CONFIRM THE MINUTES OF THE 2007 ANNUAL GENERAL MEETING.

The minutes of the last AGM held on 15th March 2007 had been displayed in the Clubhouse for the past 14 days and Captain asked for any amendments before they were taken as read. As there were no amendments, Mr. Graham Cogbill proposed that the minutes be accepted and this was duly seconded by Mr. Colin Harkin and passed by the membership.


IITEM 2 – TO RECEIVE THE CAPTAINS REPORT.

The report had previously been circulated and the Captain, Mr Andy Chick highlighted a few memorable highs and lows of the year. He began by saying that he enjoyed his year as Captain and thanked his Vice Captain for his hard work and support throughout the year as well as that of his Committee Members and wife, Brenda.


ITEM 3 – TO RECEIVE THE ANNUAL REPORT AND AUDITED ACCOUNTS FOR 2007

The Treasurer began his presentation by explaining the annual reports and Clubs borrowings etc, ending by thanking Committee and Office staff for their support and efforts for the year.


ITEM 4 - PROPOSALS

A question and answer session followed after each proposition was explained, members were then invited to vote by show of hands. Mr. Taylor announced that there were 114 eligible voters present and that a 2/3 rd majority was necessary for the proposals to be carried



Proposal one

ALL GOLF SUBSCRIPTIONS FOR ADULT PLAYING MEMMERS TO BE INCREASED £35.

A £35 increase will represent a small increase on last year's fees which will aid recruitment and retention of members. A financial forecast from our Treasurer which factored in wage increases the implications of CASC and other known expenses shows that if our present membership is maintained we would produce a surplus of approximately £16,000. This surplus would be used to in part for improvements to Brynhill and to reduce our overdraft and bank charges.

This proposal was carried 109 votes for.

Proposal Two

TO CREATE A CATEGORY OF 10 YEAR MEMBERSHIP @ A COST OF £5000 LIMITED T
25 PEOPLE.

Our overdraft although reduced this year is well in excess of £100,000 our outstanding loan to the bank is £100,000. By offering a ten year membership category at a cost of £5000 we would raise on a 100% take-up £125,000. The money would be used to pay off our bank loan, this would save approximately £17,000 per year in bank charges (loan plus interest). This saving would enable us to further reduce the size of our overdraft and reduce the time that the club runs on overdraft. A reduction in our overheads would have a long term effect on future fee increases. This again will aid recruitment and retention. The ten year membership represents a saving of over 45%, assuming an annual 3% uplift in full playing male fees, and approximately 30% for full playing female members. Cash projections and models have been run which show that there would be no significant effect on future cash flows. I.e. we are not leaving a legacy for future committees. This is the reason for limiting the category to 25.

This proposal was carried 111 votes for.

Proposal Three

THAT THE GENERAL COMMITTEE OF THE GOLF CLUB CAN INCREASE THE ANNUAL
SUBSCIPTION FEE BY A MAXIMUM OF 5% ON THE PREVIOUS YEAR WITHOUT
APPROVAL OF THE MEMBERS

This measure would greatly assist the General Committee in its financial planning and business plans. Any submissions to the bank or for grants or loans could be accompanied with sound accurately costed business plans and would in general terms make the club look more professional to the business community

This proposal failed.

Proposal Four

THAT PROJECTS TO IMPROVE ANY ASPECT OF THE COURSE, OVER AND ABOVE
REGULAR CARE AND MAINTENANCE, BE ACCURATELY COSTED,APPROVED AND
FUNDED BY THE MEMBERS BY WAY OF A ONE OFF LEVY.

This is self explanatory, if the committee or membership seek improvements over and above what is planned then a frame-work will be in place to enable this.

This proposal failed.

CHANGE OF RULES

“The Annual General Meeting shall be held in the month of March, and on a date to be fixed by the Committee, for the purpose of receiving the Captains report, Statement of accounts, Election of Officers and Committee members and any propositions where proper notice has been given. Notice of the Annual General meeting, with the closing date for nominations, shall be sent to adult playing members By Post and Electronic mail, posted on the Club website and on the club notice board at least twenty one days before such meeting. Statement of accounts and full agenda of the meeting shall be available to all members in the clubhouse at least 28 days before such meeting. A minimum of forty members shall form a quorum at the Annual General Meeting. Members may vote for as many candidates as there are vacancies”.

Rule Change: This change would save us money plus we could guarantee reaching our full membership. It is our attempt to move with the times and use our office facilities to reach all voting members in a cost effective manner by post and electronic mail and posted on the club website.

ITEM 5 – ELECTION OF OFFICERS, COMMITTEE MEMBERS AND CLUB AUDITORS


Due to an oversight in the office, the President’s position was up for re- election but not posted .
Mr. Peter Hayman indicated that he was happy to carry on in the post .The Captain explained that it was custom and practice for this posted to be non-contested, and like previous Presidents, Peter Hayman did a wonderful job. Mr Hayman was voted in unanimously. Honorary Auditors Mr. Mike Basset and Mr. Brian Philips , the Treasurer Mr. David Eagle and Hon Solicitor Andrew Humphreys were all re-elected.

The Vice Captain stated that there were 5 vacancies on committee and only 4 nominations received. There would be 3 posts for 3 years and 1 for 1 year.

The ballots were counted back at the clubhouse:

To serve for 3 years-Phil Edwards, Gareth Tinnuche and Colin Harkin
To serve for 1 year - Jan Tattersal.


The President concluded the evening by thanking members for voting him back in and wished Glenn Taylor all the best for his year as Captain.


There being no further business the meeting closed at 8:15pm.

Captain Report 2008

CAPTAINS REPORT 2008

I have thoroughly enjoyed my term as Captain this year, although the weather was a little different to the past years. Thankfully the alternate arrangements for some events went smoothly without the disruption of rain.

Firstly I would like to thank Gareth for nominating me for the Captain’s position, he left the club with a legacy in helping to run Committee meetings and organise sub committees and chairpersons. Without his organised help, I personally think the meetings would have been a lot harder for me to chair. I would also like to thank Gareth, for his excellent presentation of C.A.S.C, all questions were answered in a professional manner and hopefully most members at the end, were more knowledgeable towards C.A.S.C.

Our own President Peter Hayman has been a great support to me during my year, although dogged with ill health he has given me the support and advice and sometimes the humour in meetings to help defuse light hearted discussions.

Many thanks must go to Glenn Taylor, my Vice Captain this year. Glenn has worked extremely hard this year, on Committee, Finance and organising all presentations and making my year in Captaincy a lot easier.

Special thanks are to Derek Coombes and Phil Gershenson who gave me their valuable advice in creating an opening for an extra employee in the office to assist Rita.
A special thanks to all committee members who gave their valuable time towards the everyday running of the club. The handicap section toiling under the duress of a faulty computer did a very good job. Hopefully there will be enough in the pot to purchase a new one. Jack McKee has put Brynhill in the spotlight throughout the year and I can’t thank him enough for the coverage in the local papers. Also Colin & Julie Harkin have worked hard in the junior section, with Colin also on General Committee. Rita and Lesley in the office have done a very good job this year, and have worked well together, helping each other in different aspects of the job.

Hilary West has excelled in her role as Head of Greens in her first year, and also her horticultural skills around the course have not gone unnoticed. I would like to thank
Mal Rowlands for his help in carrying out repairs to the clubhouse and surrounding area.

Shirley O’Donovan, Jack McKee and Chris Philips are retiring from committee this year and I would like to wish them all the best for their contribution towards the running of the club. Sue Holland, last year’s Lady Captain raised monies for charities, and I’m very grateful for her support during my year.

I would like to thank Jan Tattersall our Lady Captain for taking an interest in attending committee meetings and wish her all the best in her year of office. Graham Cogbill has done a very good job organising Quiz nights and hopefully will continue in the future.

Dave Eagle our Treasurer has helped a lot more this year, training Lesley in accounts and making the accounts easier to read for some. Debbie and her Staff have done a fantastic job this year always helpful with smiling faces from morning until late into the night.
Steve our Chef has cooked some wonderful meals this year and is a credit to the club. All guests who have eaten at the club have been full of compliments at the high standard of food.

Due to adverse weather conditions this year, Duncan and his staff have had some very quiet times, but due to their vigilance and smiling faces they have brought monies into the club with green and buggy fees.

Last but not least Iain and his green staff have kept the course in excellent condition, considering yet again the weather. They have performed miracles and deserve the praise that has come from Members and Visitors alike.

Congratulations to our Club Champion, Andy Dodd. I refereed that match and was very impressed with the high standard of golf achieved by Andy and Scott Bowman.

Helen Cook our Lady Champion is a credit to the younger members and hopefully her win, will encourage younger ladies to take up the sport. The Second team Captain Richard Bond did very well this year, winning their division, and also the Hallet team with Phil Cook who won theirs for the second year running.

Having started my report some time ago, penning my thoughts onto paper, I was looking back on my year and thinking, apart from the weather, this year has been incident free. The atmosphere in the club house has been warm and very friendly and Saturday mornings there are a group of golfers who always welcome new and old members to join them in stableford competitions.

Unfortunately on Friday night 15th February we had a visitor or visitors to our course with a mind to disrupt our golf as much as possible at a cost to the club. Those who saw the damage on that weekend to the greens, felt for the green keeper and his staff who had worked so hard during the winter to keep the greens in good condition. Let us hope we find the person or people responsible before they strike again.

To my wife Brenda, I have many thanks, for organising the tents and arranging the rota for the ladies on Charity days and Captains Weekend. Her support has been second to none, accompanying me to various functions throughout my year of Captaincy.

To the Ladies who manned the tents and scoreboard, a big thanks for your support and also to the members and their guests in contributing towards my charity.

Special thanks goes to Paula O’Callaghan who came home from Tenerife just to sell raffle tickets on My Captains Weekend, and her contribution resulted in highest ticket sale for some time.

I would like to wish Glenn Taylor my Vice Captain, all the best for his year and hope he enjoys his year as much as I have enjoyed mine

Dear Member,

At the E.G.M held at the Barry Boys School on Tuesday 29th January 2008 the proposition that Brynhill Golf Club registers as a Community Amateur Sports Club (C.A.S.C) & adopts amendments to the constitution as posted in the Clubhouse, was carried.

Of the 125 members eligible to vote, 85 were in Favour of the proposal whilst 40 were against.

I take this opportunity of thanking those of you who attended the meeting and notifying you that an application has now been submitted to the H.M.R.C for Registration as a C.A.S.C.

You will be kept informed of progress on this matter.
